AGREEMENT TO OUR LEGAL TERMS

These Terms and Conditions (“Terms”) form a legally binding agreement between you (“you”, the user) and GradeGuru (“GradeGuru”, “we”, “us”), a Dutch company registered at Pleinweg 214A, 3083 EW Rotterdam, Netherlands, with KvK number 42005795 and VAT number NL005428861B97.

These Terms govern your use of all digital products and services we offer through our website, gradeguru.nl, including, but not limited to, downloadable study materials, online courses, exam trainings, and any other educational content (“Services”).

GradeGuru is an independent provider. We are not affiliated with or endorsed by any university or academic institution.

By accessing the Services, creating an account, or making any purchase, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

You must be at least 18 years old to use or register for the Services. If you are under 18, you are not permitted to create an account or make purchases.

We may update these Terms at any time. If we do, we will post the updated version on our Platform and may notify you by email. Your continued use of the Services after the updated Terms are published constitutes your acceptance of those changes.

1. DEFINITIONS

In these Terms, the following definitions apply:

“GradeGuru”, “we”, “us”, “our” – GradeGuru, registered in the Netherlands under KvK number 42005795, provider of the Services.
“User”, “you”, “your” – Any natural person who accesses, registers for, or purchases Services from GradeGuru.
“Platform” – The GradeGuru website and any associated online environment used to access the Services.
“Services” – All digital offerings by GradeGuru, including Courses, Exam Trainings, Subscriptions, and Trials.
“Course” – A bundled digital product containing one or more Summaries, Practice Exams, or DeepDive Lessons.
“Exam Training” – A live or recorded online session specifically designed to prepare students for university-level exams.
“Subscription” – A subscription-based access plan to multiple Courses over a specified period.
“Trial” – A time-limited, promotional period of access that may convert into a paid Subscription unless cancelled.
“Account” – A user profile required to purchase or access the Services.
“Content” – Any material accessible via the Services, including text, PDFs, videos, and assessments.
“Takedown Notice” – A formal request sent to GradeGuru to remove allegedly infringing Content under copyright law.
“Ambassador” – A User who promotes GradeGuru in exchange for free access to Courses or other benefits.

2. SCOPE AND APPLICABILITY

These Terms apply to all access to and use of the Platform and Services provided by GradeGuru, whether you are located in the Netherlands or elsewhere. By using our Platform, creating an Account, or making any purchase, you agree to be legally bound by these Terms, along with our Privacy Policy and Refund Policy. Together, these documents form the complete agreement between you and GradeGuru.

You do not need to create an Account to be bound by these Terms; simply accessing or purchasing from the Platform is sufficient. If you do not accept these Terms, you must not use or access any part of the Services.

These Terms are written in English and intended to comply with Dutch consumer protection laws and applicable EU regulations, including the e-Commerce Directive. In the event of a conflict between translated versions and this English version, the English version shall prevail.

We may update these Terms from time to time. The most current version will always be published on our website, with the date of last revision clearly indicated. By continuing to use the Platform or Services after changes are posted, you agree to be bound by the revised Terms.

GradeGuru delivers educational services exclusively online. In accordance with Article 11 of the Dutch VAT Act (Wet op de omzetbelasting 1968), our Services are exempt from VAT due to their educational purpose. All prices shown on the Platform are final and inclusive of any applicable taxes or fees.

4. ACCOUNT REGISTRATION, ELIGIBILITY & USER REPRESENTATIONS

To access or purchase most Services, you must create a personal Account on the Platform. At present you may create an Account only with an email/password combination or by linking a Google account; we may add other providers in the future. You are responsible for ensuring that all information you provide during registration is accurate, complete, and kept up to date at all times.

By creating an Account or using the Services, you confirm that you are at least 18 years old and legally capable of entering into a binding agreement. You also represent and warrant that:

All registration and payment information you submit is true, current, and complete, and that you will update it as needed.
You will not register using a false identity or create multiple Accounts for the same individual.
You will not access the Services through automated means (such as bots, crawlers, or scripts).
You will not use the Services for any unlawful, unauthorised, or unethical purposes.
You will comply with all applicable laws, university regulations, and these Terms.

You are solely responsible for keeping your login credentials secure and for all activities that occur under your Account. If you believe your Account has been compromised, you must notify us immediately.

Account Sharing Prohibited
Your Account is personal to you and may not be shared, sold, rented, or otherwise made available to any other person. Sharing your Account with others not only breaches these Terms, but also undermines the effort that our team and fellow students have put into creating the Content (Summaries, Practice Materials, etc.). Any attempt to let multiple people use the same Account, whether free or for compensation, constitutes a material breach of these Terms and may result in immediate suspension or termination of your Account without refund.

We reserve the right to suspend or permanently terminate your Account, with or without notice, if we believe you have violated these Terms, engaged in fraudulent, abusive, or deceptive conduct, or otherwise acted in a way that harms GradeGuru, its users, or the integrity of the Services.

5. DESCRIPTION OF SERVICES

GradeGuru offers digital learning products designed to support university students in their academic success. These Services are available exclusively online via our Platform.

Courses consist of curated learning materials for a specific subject and typically include:

a downloadable Summary (PDF),
interactive Practice Exams hosted on the Platform, and
DeepDive Lessons, which can be streamed on the Platform and/or downloaded for offline study.

Courses can be purchased individually for a one-time fee or accessed as part of a Subscription plan.

Exam Trainings are live or recorded online sessions that help students prepare for specific university exams. These are sold separately and are not included in any Subscription.

Subscriptions grant access to a collection of Courses for a defined period. We offer monthly, semester, and annual plans. Subscriptions automatically renew unless cancelled before the renewal date.

From time to time, we may offer a Trial, which provides limited-time access to certain Services at a reduced rate or for free. If you do not cancel the Trial before it ends, it will convert to a standard monthly Subscription at the regular price.

All Services are digital only. We do not offer or ship physical products.

6. PRICING, PAYMENT & VAT

All prices listed on the Platform are final and include any applicable taxes or transaction fees. However, GradeGuru is exempt from VAT under Article 11 of the Dutch VAT Act (Wet op de omzetbelasting 1968) due to the educational nature of its services. As such, no VAT is charged or payable on any of our offerings.

Payments for Services must be made in advance using one of the payment methods accepted by our processor, Stripe. Available methods may include credit cards, iDEAL, Bancontact, and other local or international options. You agree to provide accurate billing information and to authorise GradeGuru (via Stripe) to charge the selected payment method for the total purchase amount.

If you choose a Subscription, the subscription will automatically renew each billing period until cancelled. You can cancel your Subscription at any time from your Dashboard, and the cancellation will take effect at the end of the current billing period. No partial refunds will be issued for unused time.

If you begin with a Trial, you must cancel it before the end of the trial period to avoid being charged for a full monthly Subscription. After conversion, normal renewal terms apply.

All transactions are processed securely, and GradeGuru does not store your full payment details.

7. RIGHT OF WITHDRAWAL, REFUND & CANCELLATION

Under EU consumer protection law, you normally have the right to withdraw from a digital purchase within 14 days of the transaction. However, by accessing or downloading digital content immediately after purchase, you agree that your right to withdraw is waived.

Nevertheless, GradeGuru offers a voluntary 7-day refund policy for Courses and Subscription. If you are not satisfied with your purchase you may request a refund within 7 days of purchase by contacting us at [email protected]. Refunds are granted at our discretion and processed using the original payment method.

Exam Trainings are not eligible for refunds once access has been granted, unless required by law.

Monthly Subscriptions may be cancelled at any time from your Account dashboard. The cancellation will take effect at the end of the current billing cycle, and no refunds will be issued for any remaining time.

Semester and annual Subscriptions cannot be cancelled mid-term and are non-refundable after the 7-day voluntary refund period.

If you start on a Free Trial, you can cancel at any time before the trial ends to avoid being charged. If the trial converts to a paid Subscription, that first payment, and all subsequent renewals, are not covered by the seven‑day money‑back guarantee; only the regular cancellation rules apply.

This voluntary refund policy does not limit or affect any mandatory consumer rights you may have under Dutch or EU law. For full details, please refer to our complete Refund Policy available on our website.

8. INTELLECTUAL PROPERTY, LICENSING & USER CONTRIBUTIONS

Ownership of GradeGuru Content
All materials provided through the Services, including, but not limited to, Summaries, Practice Exams, DeepDive Lessons, videos, text, graphics, audio, and downloadable PDFs (“GradeGuru Content”), are the exclusive property of GradeGuru or its licensors and are protected by Dutch copyright law (Auteurswet) and applicable international treaties.

Limited End-User Licence
When you purchase or access a Course, Exam Training, or Subscription, GradeGuru grants you a personal, non-transferable, non-exclusive, revocable licence to view, stream, and (where expressly indicated) download GradeGuru Content for your own private study only.
This licence does not permit you to:

copy, share, resell, distribute, publish, or publicly display any GradeGuru Content;
post our materials to other platforms, websites, or file-sharing services;
allow anyone else to access the Services through your Account; or
use the Content for commercial purposes.

Any such act constitutes a material breach of these Terms and may lead to immediate suspension or termination of your Account, injunctive relief, and/or damages. All rights not expressly granted are reserved.

User Contributions and Licence Back to GradeGuru
If you submit comments, suggestions, files, reviews, or other content (“Contributions”) via the Platform, you retain ownership of your Contributions. By submitting a Contribution, you:

grant GradeGuru a perpetual, worldwide, royalty-free, irrevocable, sublicensable licence to host, reproduce, adapt, translate, modify, create derivative works from, publish, publicly display, and otherwise use the Contribution for any lawful purpose related to the Services (including marketing, analytics, and product improvement); and
irrevocably waive, to the fullest extent permitted by Dutch law, any moral rights (rights of paternity, integrity, or attribution) you may hold in that Contribution, allowing GradeGuru to edit or adapt it without additional permission.

You warrant that each Contribution is original to you, does not infringe any third-party rights, and that you have all permissions necessary to grant the licence above.

Notice-and-Takedown
If you believe any GradeGuru Content or user Contribution infringes your copyright or legal rights, please follow the Notice-and-Takedown procedure described in Section 10.

No Transfer of Intellectual-Property Rights
Except for the limited end-user licence granted above, nothing in these Terms transfers any intellectual property rights to you. GradeGuru’s names, logos, and trademarks may not be used without our prior written consent.

9. ACCEPTABLE USE, ACADEMIC INTEGRITY & ACCOUNT SUSPENSION

You agree to use the Platform and Services solely for lawful purposes and in full accordance with these Terms. You must not misuse, disrupt, or impair the operation, security, or accessibility of the Platform, nor attempt to gain unauthorised access to any part of it.

The following conduct is strictly prohibited

Sharing, reselling, or redistributing any purchased or licensed materials.
Republishing or displaying GradeGuru content anywhere without our written permission.
Uploading, posting, or linking to any material that infringes copyright, trademark, privacy, or other intellectual-property rights.
Using the Services to facilitate cheating, plagiarism, impersonation, or any other form of academic dishonesty.
Reverse-engineering, scraping, mining, or otherwise extracting data or source code from the Platform.
Employing bots, spiders, crawlers, scripts, or other automated systems to register, log on, or interact with the Services.
Harassing, threatening, or impersonating other users, or otherwise interfering with their use of the Services.

Guidelines for reviews and ratings

Post only genuine, first-hand feedback about your own experience with a Course or Exam Training.
Keep language respectful; do not include profanity, hate speech, discriminatory remarks, or personal attacks.
Reveal any material connection to GradeGuru (for example, participation in our Student-Ambassador Program).
Do not coordinate or participate in campaigns aimed at artificially influencing ratings, positive or negative.
Ensure all statements are accurate and comply with applicable laws and your university’s conduct rules.

GradeGuru reserves the right to remove any review or user-generated content that breaches these guidelines or other provisions of the Terms.

Account suspension and enforcement

We may immediately suspend, restrict, or permanently terminate your Account, without prior notice, if, in our sole judgment, you violate these Terms or engage in behaviour that compromises the integrity or security of the Services or endangers other users. Possible enforcement measures include:

issuing warnings;
temporary or permanent account suspension;
removal of offending content;
commencing legal action or seeking injunctive relief; and
reporting misconduct to educational institutions or relevant authorities.

GradeGuru is not obliged to actively monitor every user activity, but we may investigate complaints or suspected violations and take any action we deem appropriate. We are under no obligation to provide justification for enforcement decisions taken under this policy.

10. NOTICE-AND-TAKEDOWN (COPYRIGHT) PROCEDURE

GradeGuru creates original educational content, including Summaries, Practice Exams, and DeepDive Lessons, that is inspired by university courses and curricula. While our materials are based on academic resources such as lectures and course structures, they are independently written, transformed, and developed to offer original educational value. We do not copy, reproduce, upload, or distribute official university content or proprietary materials in their original form.

We make it clear throughout our Platform that GradeGuru is not affiliated with or endorsed by any university or academic institution. This disclaimer is displayed prominently on all relevant pages, including course search and subject listing areas, to prevent any misunderstanding regarding our independence.

If you believe that any content on our Platform infringes your copyright or legal rights, you may submit a formal takedown request. We are committed to complying with Dutch and EU copyright laws, including Article 17 of the DSM Directive, and will review each request with care and transparency.

To request a takedown, please send a detailed message to [email protected], including the following information:

Your full name and contact details
The name of the organisation or institution you represent (if applicable)
A clear description of the allegedly infringing content
The exact location (URL) of the content on our Platform
An explanation of why you believe the material is infringing
A declaration that you are the rights holder or are authorised to act on their behalf

We aim to respond to takedown requests within 5 business days. Where appropriate, we may temporarily remove or restrict access to the content during the investigation. If necessary, we may also contact the user who uploaded or accessed the content in question.

Please note that knowingly submitting false or misleading takedown requests may result in legal consequences.

11. STUDENT AMBASSADOR PROGRAM

GradeGuru may, at its discretion, invite selected users to participate in our Student Ambassador Program. Ambassadors help promote our Courses and Exam Trainings within their university communities, including through word-of-mouth, social media, or personal recommendations.

In return, Ambassadors may receive free access to selected Courses, exclusive materials, early access to new content, or other non-cash benefits. Participation in the programme is voluntary and does not constitute employment, partnership, or agency.

Ambassadors are expected to represent GradeGuru responsibly and honestly. We do not tolerate spam, misleading promotion, or any conduct that could harm our reputation or violate academic integrity policies. Any Ambassador found to be acting in bad faith or in breach of these Terms may have their access revoked immediately.

Specific guidelines or expectations for the programme may be communicated directly to Ambassadors and may be updated from time to time.

12. DISCLAIMERS, SERVICE INTERRUPTIONS & LIMITATION OF LIABILITY

All content and Services provided by GradeGuru are intended solely for educational support and informational purposes. We do not guarantee that using our materials will result in any specific academic outcome, exam result, or university grade.

While we aim to ensure our content is accurate, current, and aligned with typical university standards, we do not warrant that it will be error-free or continuously updated to reflect curriculum changes. You use the Services at your own risk, and GradeGuru accepts no responsibility for how you apply the materials in your academic or personal work.

We may occasionally update, interrupt, or modify access to the Services due to maintenance, system upgrades, or technical issues. We do not guarantee uninterrupted availability of the Platform, and we are not liable for any loss, damage, or inconvenience caused by service interruptions.

To the fullest extent permitted under Dutch law, GradeGuru’s total liability for any claim, loss, or damage arising out of or related to your use of the Services is limited to the greater of (a) €200 or (b) the total amount you paid to GradeGuru in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for intentional misconduct, gross negligence, death, personal injury, or any liability that may not be excluded under mandatory Dutch or EU law.

GradeGuru shall not be liable for any indirect, incidental, or consequential damages, including, without limitation, lost academic opportunities, lost data, system failures, or reputational harm.

13. GOVERNING LAW, ARBITRATION & DISPUTE RESOLUTION

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and interpreted in accordance with the laws of the Netherlands, without regard to any conflict of law principles.

If you are a consumer and a dispute arises, we encourage you to first contact us directly at [email protected] to attempt an informal resolution. Most issues can be quickly resolved this way.

If the matter cannot be resolved informally, you agree that any legal dispute will be finally resolved through arbitration administered by the Netherlands Arbitration Institute (NAI) in accordance with its rules, which are deemed to be incorporated by reference into this clause.

The seat of arbitration shall be Rotterdam, the Netherlands. The language of the arbitration shall be English. The number of arbitrators shall be one.

Consumers may also be entitled to use the European Commission’s Online Dispute Resolution (ODR) platform, available at https://ec.europa.eu/consumers/odr.

Nothing in this clause limits your statutory rights under Dutch or EU consumer protection law to bring a claim before a competent Dutch court.

14. AMENDMENTS TO THESE TERMS

We may update or modify these Terms from time to time to reflect changes in our Services, applicable laws, or business practices.

When we make changes, we will publish the updated Terms on our Platform and indicate the date of the last revision at the top of the document. In some cases, we may notify you by email or through your Account if the changes are material.

By continuing to use the Services after the revised Terms are published, you agree to be bound by the updated version. If you do not agree to the changes, you must stop using the Services and cancel your Account.

We recommend that you review these Terms periodically to stay informed about your rights and obligations.

15. MISCELLANEOUS PROVISIONS

Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, that provision will be enforced to the maximum extent permitted, and the remainder of the Terms will remain in full force and effect.

Assignment
You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. GradeGuru may assign or transfer its rights and obligations at any time, including in connection with a merger, acquisition, or business restructuring, without further notice to you.

Entire Agreement & Priority
These Terms, together with our Privacy Policy and Refund Policy constitute the entire agreement between you and GradeGuru regarding the Services and supersede all prior or contemporaneous understandings, agreements, communications, and proposals. If these Terms conflict with any translated version or marketing statement, the English version of these Terms shall prevail.

No Waiver
Our failure or delay in enforcing any right or provision of these Terms shall not operate as a waiver of that right or provision, nor shall any single or partial exercise of any right preclude further exercise of that or any other right.

Headings for Convenience
Section titles and headings are provided solely for convenience and will not affect the interpretation of the substantive provisions.

Electronic Communications & Signatures
By using the Services, you consent to receive all contracts, notices, disclosures, and other communications from us electronically. You agree that electronic signatures, whether by clicking “I agree,” checking a box, or similar action, satisfy any legal requirement that such communications be in writing and are binding as a handwritten signature.

Indemnification
You agree to indemnify, defend, and hold harmless GradeGuru, its founders, employees, and partners from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your breach of these Terms; or (c) your infringement of any third-party right, including intellectual-property, privacy, or publicity rights.

User Data & Back-ups
We maintain routine back-ups of the Platform, but we do not guarantee the preservation of any data you upload or generate (e.g. quiz scores, notes, messages). You are solely responsible for exporting or backing up your own data, and GradeGuru is not liable for loss or corruption of user data.

Third-Party Links & Content
The Platform may contain links to third-party websites or content provided solely for convenience. GradeGuru does not control or endorse such content and is not responsible for its availability, legality, accuracy, or reliability. Accessing third-party sites is at your own risk.

Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations (except payment obligations) caused by events beyond its reasonable control, including acts of God, extreme weather, pandemic, war, terrorism, labour disputes, internet outages, or governmental action.

User Reviews
Public reviews and ratings must reflect your genuine experience and comply with the “Guidelines for Reviews & Ratings” in Section 9. We reserve the right to edit, hide, or remove any review that we deem misleading, defamatory, spam, or otherwise unlawful.
